Professional AI/MarTech research and development service terms
1. Professional Services
Webrevue Digital Marketing Inc. ("Company") provides specialized research and development services in artificial intelligence and marketing technology, including but not limited to:
- Applied AI research and advanced algorithm development
- Multi-agent system architecture design and implementation
- Predictive analytics and machine learning model development
- Marketing science consulting and data analysis
- Technology validation and feasibility assessments
- Neural architecture search and optimization
- Federated learning system design
- Conversational AI and natural language processing solutions
2. Engagement Framework
All professional services are provided under separate statements of work (SOW) or master service agreements (MSA) that specifically define:
- Detailed project scope, technical specifications, and deliverable milestones
- Professional fees, payment schedules, and reimbursable expense policies
- Intellectual property ownership, licensing rights, and usage restrictions
- Confidentiality obligations and non-disclosure requirements
- Data security protocols and compliance requirements
- Performance standards and acceptance criteria
3. Intellectual Property Rights
All pre-existing intellectual property, proprietary methodologies, and background technologies remain the exclusive property of their respective owners. Custom developments, research findings, and work products are subject to the specific intellectual property provisions outlined in individual project agreements.
The Company retains rights to general knowledge, experience, and methodologies developed during the course of providing services, while respecting client confidentiality and proprietary information.
4. Service Limitations and Warranties
Our services are provided primarily for research, development, and proof-of-concept purposes. Production implementation, commercial deployment, and ongoing operational support require separate agreements and may involve additional technical, legal, and regulatory considerations.
Services are provided on an "as-is" basis for research purposes. The Company makes no warranties regarding commercial viability, regulatory compliance, or fitness for specific production use cases unless explicitly stated in writing.
5. Limitation of Liability
To the maximum extent permitted by law, the Company's total liability for any claims arising from our services shall not exceed the total fees paid for the specific project giving rise to such claims. The Company shall not be liable for any indirect, incidental, special, or consequential damages.
6. Governing Law and Dispute Resolution
These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from or relating to these terms or our services shall be resolved through binding arbitration conducted in Toronto, Ontario, Canada, in accordance with the Arbitration Act (Ontario).
